Project Charter Terms and Conditions

1. Acceptance
By signing, each signatory confirms that they have reviewed and accept the project charter and these terms.
2. Scope and changes
Work is limited to the scope, deliverables and assumptions recorded in the charter. Material changes require written agreement and may affect price and delivery dates.
3. Client responsibilities
The client will provide timely access, content, approvals and feedback needed to perform the work. Delays may move the delivery schedule.
4. Fees and payment
Fees, deposits, milestones, taxes and payment dates are governed by the accepted proposal or invoice linked to the project.
5. Intellectual property
Ownership and licence rights are governed by the applicable proposal or services agreement. Third-party materials remain subject to their own licences.
6. Confidentiality
Each party will use reasonable care to protect confidential information received for the project.
7. Warranty and liability
Any warranties, exclusions and liability limits are those stated in the applicable services agreement. Nothing in this charter overrides rights that cannot lawfully be excluded.
8. Electronic acceptance
The parties agree that electronic acceptance and signature records may be used as evidence of agreement.
9. Entire project record
The signed charter, its frozen terms version and its signing certificate form one project record. If they conflict with a separately executed master agreement, the master agreement controls.
